Income Tax Act 2025: Guide to NPO Approval Framework Changes

The structural updates to the Income Tax Act 2025 went live on April 1, 2026. This new legislation changes how non-profit entities in India handle taxation, registration, and donor benefits. The basic logic behind tax exemptions stays the same. The government, however, consolidated older sections, introduced new forms, and changed the compliance process. This guide explains the direct impact on your organization’s legal status and daily operations.

What is a Registered Non-Profit Organisation (RNPO)?

Past laws used different names for charitable trusts, societies, and institutions. The 2025 update replaces that varied terminology with a single legal classification. Every qualifying entity is now a Registered Non-Profit Organisation (RNPO). You will find these consolidated rules in Chapter XVII of the Act.

You need to transition to this new framework if you operate any of these entities:

  • Public Charitable Trusts
  • Societies registered under the Societies Registration Act
  • Section 8 Companies
  • Educational Institutions
  • Government-funded Institutions
  • Entities specifically notified by the tax department

Section 332: The New Registration Protocol (Old Section 12A / 12AB)

Section 332 replaces the older Sections 12A and 12AB. You must use this section to register your organization. You cannot claim tax exemptions on charitable income without an active Section 332 registration.

Core Benefits of Section 332 Registration

Registration grants an explicit tax exemption on eligible institutional income. You can legally accumulate and apply funds for specific charitable objectives. The process also establishes your formal tax-exempt status under the new law.

Take a trust running a vocational training center as an example. If that center brings in ₹15,00,000 through fees and donations, an active Section 332 registration keeps the income tax at 0%. You just need to apply those funds directly to the educational programs.

Registration Types and Validity

The law divides the application paths based on your current operational status.

  • Provisional Registration: Newly established organizations need this before they start working. You get this by filing Form 104 on the e-filing portal.
  • Regular Registration: Organizations already doing active charitable work need this status. You secure it by filing Form 105.
  • Standard Validity: A regular registration lasts for five years. You must apply for renewal before the five years run out.
  • Extended Validity: Certain smaller NPOs that meet specific low-income thresholds can qualify for an extended ten-year registration window.

Section 354: Tax Deductions for Donors (Old Section 80G)

While Section 332 exempts your organization from paying income tax, Section 354 gives tax incentives to your financial backers. This section completely replaces Section 80G. When you get approval under Section 354, your donors can deduct their contributions from their own taxable income.

Requirements to Retain Section 354 Approval

You must meet strict requirements to maintain this donor deduction approval.

  • Operate your organization entirely within India for charitable purposes.
  • Do not operate for the exclusive benefit of one specific religious community or caste.
  • Keep accurate books of accounts ready for tax audits.
  • Issue formal donation certificates directly to your financial contributors.
  • File prescribed donation statements with the Income Tax Department.
  • Ensure your trust deed or articles of association strictly forbid anyone from diverting assets for non-charitable use.

Think about a corporate entity donating ₹5,00,000 to your environmental cleanup project. Your Section 354 approval lets that company claim the donation as a deduction on their corporate tax return. This lowers the company’s net tax liability.

Essential Compliance Steps for RNPOs

You need to follow three specific steps to protect your tax status under the updated framework.

  1. Check Your Form Requirements: Log in to the e-filing portal. You might need to submit a transition application using Form 105.
  2. Automate Donation Statements: Set up a reliable system to collect complete PAN and identity data from your donors. You have to report these details to the tax department so your donors can actually receive their Section 354 tax credits.
  3. Audit Asset Clauses: Review your constitutional documents. Make sure they contain clauses stating all assets will remain dedicated to charitable purposes even if the organization dissolves in the future.
